This is the official privacy policy (“Privacy Policy”) for MTV’s 44½ website (the “Site,” “us,” or “we”), an Internet website offered in cooperation with the programming service known as “MTV 44½” (“MTV 44½”).  MTV 44½ and the Site are provided by MTV Networks (“MTVN”), a division of Viacom International, Inc. (“Parent Company” and collectively with MTVN, the “Parent Companies”).  This Privacy Policy governs only the personally identifiable information (“Personal Information”) collected by the Site and does not cover any such information collected in any other manner, for any other purpose, or via any other venue including without limitation, any of the MTVN cable television networks and their related websites.  This Privacy Policy shall not in any manner govern the collection of information by the Parent Companies, their corporate affiliates or subsidiaries, or any other company, unless expressly stated in this Privacy Policy.  This Privacy Policy is incorporated by reference in the Site’s Terms of Use Agreement (the “Agreement”), which is binding on all Site users. 

GENERAL PRIVACY GUIDELINES

The Site is targeted only to United States of America, its territories and possessions (“U.S.”) based media and advertising professionals interested in a business relationship with MTVN and is governed by and operated in accordance with the laws of the U.S.  We make no representation that the Site is operated in accordance with the laws of other nations.  By your participation in the Site activities, you certify that you are at least 18 years of age and a resident in the U.S.  If you are located in the European Union or elsewhere outside of the U.S. and you participate in activities on the Site contrary to our policy that only U.S. residents are eligible for certain activities, you do so at your own risk and initiative, and are responsible for compliance with any applicable local laws.  Please be aware that any Personal Information you transfer to us will be transferred to and processed in the U.S. and subject to U.S. law.  By using the Site, participating in any Site activities, and/or providing us with your Personal Information, you consent to this transfer of Personal Information to the U.S., and waive any claims that may arise under your own national laws.  All users of the Site are required to provide true, current, complete and accurate Personal Information when prompted and we will reject and delete any entry that we believe in good faith to be false, fraudulent, or inconsistent with this Privacy Policy.  The terms "you" and "user" as used in this Agreement refer to all individuals and/or entities accessing the Site for any reason.

Your use and continued participation on the Site indicates your acceptance of this Privacy Policy and of the collection, use, disclosure, management and storage of your Personal Information as described below.  We may from time to time, transfer or merge any Personal Information collected off-line to our online databases or store off-line information in an electronic format. We may also combine Personal Information we collect online with information available from other sources, including information received from the Parent Companies, our corporate affiliates, advertisers, or marketing companies.  This Privacy Policy covers all such Personal Information and will remain in full force and effect as long as you are a user of the Site.  We reserve the right to revise this Privacy Policy at any time by updating this document without advance notice to you.  Such revisions shall be effective to you immediately upon posting.  Therefore, we encourage you to check this Privacy Policy often. 

WEBSITE COLLECTION, USE, AND DISCLOSURE OF PERSONAL INFORMATION

Collection and Use: Generally, you may browse the Site without providing any Personal Information.  If you wish to receive information from MTVN regarding billboard advertising opportunities on MTV 44½, you may voluntarily submit Personal Information on the “Contact Us” webpage, including your first/middle and last name, and email address.   You may also submit comments via the Contact Us page; such a submission is considered a “Posting” as defined in the Agreement and will be shared internally and with authorized third parties, depending on the circumstances.  We do not share your Personal Information with third parties for marketing or advertising purposes. We will use your Personal Information to inform you about marketing and advertising opportunities related to MTVN and the Parent Companies.

The Site also includes a “Forward to A Colleague” feature that enables you to send information pertaining to the Site to a fellow colleague.  You voluntarily submit your name and email address, and your colleague’s name and email address to use this feature.  This feature operates as a ‘routine conveyance’ mechanism and the Personal Information collected briefly is not retained by the Site.

Disclosure to Third Parties:  We do not sell, rent, lease or disclose your Personal Information to unaffiliated entities for marketing purposes.  However, we will disclose your Personal Information to third parties in the limited circumstances listed below.  As stated above, we will only disclose Personal Information related to or contained in a Posting in connection with the display of and other services relating to such Posting as such Personal Information is intended to be disclosed. 

a. Operational Service Providers.  We have the right to disclose your Personal Information to third parties for the purpose of administering and maintaining the Site’s services, features, functions and operations.  We will refer to these third parties as “operational service providers,  ”which are specialists that provide internal support to operations and activities and/or for Site design, development, hosting and operations including maintenance, management, storage and/or fulfillment of our membership and e-mail clubs, various contests, sweepstakes, services, events and online stores (such as MTVN Direct Inc.).”  We use operational service providers to efficiently provide the full range of content, services, features and functions we bring you and we request that our operational service providers also protect your privacy and not disclose your Personal Information to third party marketers that are not associated with the Site or MTVN.  Additionally, such providers are not permitted to use your Personal Information for their own marketing or promotional purposes.

b. Other Non-Affiliated Third Parties.  We will make your Personal Information available to non-affiliated third parties in the following limited circumstances:

• When we are compelled to do so by a governmental agency, court or other entity (e.g., to respond to subpoenas, court orders or legal process);
• If we believe your actions violate any law, regulation, the Agreement, Additional Terms (as defined in the Agreement), this Privacy Policy, or any of our other terms and conditions, rules, offerings or any other services, features or functions of the Site, or if you threaten the rights, property or safety of the Site, the Parent Companies, their Affiliates, or any of its or their operational service providers, suppliers, advertisers, customers, users, registered users or any other party;
• If, in our sole discretion, we believe such disclosure to be necessary or appropriate to investigate or resolve possible problems or inquiries, to protect our business and assets, to defend our interests and/or to comply with our legal and regulatory obligations; or
• In the event of a bankruptcy, merger, acquisition, transfer of control, joint venture or other business combination involving us, the Parent Companies or their affiliates.

COOKIES AND IMAGE TAGS

The use of cookies is an industry standard and they are currently used on most websites, including the Site.  Cookies are a small text file containing a unique identification number that is transferred from a website server either to your browser or temporary storage of a user’s computer so that the website administrator or a third party operational service provider may identify the computer and passively track the user’s activities on the website.  Image tags work in conjunction with cookies and are small image files that may be located on select pages of the Site, or within web-based email newsletters that we may send.  (Image tags are also called web beacons, web bugs, clear GIFs or single-pixel GIFs.)  Tracking is important because we can better understand what parts of our website are used the most, when to launch new services and how to enhance current offerings.  We may share the information we receive from cookies and image tags with third-parties and marketing partners in aggregate form, which means that such information generally does not contain specific Personal Information about any one visitor.  In short, cookies and image tags collect a user’s Internet protocols and server information, and such data files allow the Site to remember your web browser when you visit the Site.  A cookie will not allow the Site to learn any Personal Information (such as your real name and email address) that you have not otherwise disclosed. 

SECURITY MEASURES

We conduct the collection, management, maintenance and storage of Site user information in a secure and commercially reasonable manner using acceptable industry standards of security technology and practices (such as electronic security systems and password protections) to protect against the loss, misuse or alteration of Personal Information.   We also request that our operational service providers take such precautions.  Any MTVN databases related to the Site are accessible only by authorized personnel.   

However, please note that when users transmit Personal Information over an unsecured Internet connection, the Site is not responsible for the security of that information during the transmission stage as your email or registration could be copied or intercepted by unknown third parties.  Therefore, you understand, acknowledge, and agree that you transmit certain Personal Information over the Site at your own risk.
